The BD Desk
Terms of Business
1. Services
The Contractor provides outbound business development services to the Client. These include:
- an agreed number of outbound calls each week to the Client's target contacts;
- follow-up emails after each call;
- a monthly activity and results report; and
- a monthly check-in call to review performance.
Services are offered in Starter, Standard and Growth tiers, or on custom terms agreed in writing.
2. Fees and payment
A one-off setup fee, currently €299, is payable before launch. The monthly fee is the published fee for the agreed tier at the time of agreement, or as otherwise agreed in writing. Fees are exclusive of VAT, which will be added where applicable.
Invoices are issued monthly in advance and are payable within 14 days of the invoice date. The Contractor may suspend services while any invoice is overdue. Late payments may incur statutory interest and compensation under the European Communities (Late Payment in Commercial Transactions) Regulations 2012.
3. Term and termination
The engagement begins with a six-week trial from launch and then continues on a rolling monthly basis. Either party may end the engagement by giving 30 days' written notice. The Contractor may end the engagement immediately for non-payment, or if asked to carry out any unlawful activity.
4. Independent contractor status
The Contractor provides services to multiple clients as an independent business and is not an employee of the Client. The Contractor is responsible for their own tax, insurance and statutory obligations.
5. Exclusivity and conflicts of interest
The Contractor will not provide the same services to a direct competitor of the Client in the same sector and market during the engagement. Before taking on a new client that could present a conflict of interest, the Contractor will disclose it to the existing Client.
6. Confidentiality
Both parties will keep confidential any non-public business information shared during the engagement, including contact lists, scripts, pricing and these terms. This obligation continues after the engagement ends.
7. Data protection
Contact data is handled in line with the General Data Protection Regulation (GDPR). Client data and campaign results belong to the Client and will be provided on request or when the engagement ends. The Contractor retains ownership of its own scripts, processes and methodology.
8. Liability
The Contractor will carry out the services with reasonable skill and care but does not guarantee specific results. Neither party is liable for indirect or consequential losses. The Contractor's total liability is limited to the fees paid by the Client in the three months before the claim arose.
9. Recruitment services
Recruitment services are provided by The BD Desk as a licensed employment agency (licence no. EA 5756). Fees and terms for each recruitment assignment are agreed in writing before the assignment begins.
10. Changes to these terms
The Contractor may update these standard terms for new clients. Changes do not apply to an existing agreement without the Client's written consent.
11. Governing law
These terms and any agreement under them are governed by the laws of Ireland.
